1. Services

Apex Media Firm provides digital marketing, video production, photography, creative design, and related services. Scope, pricing, and deliverables are defined in each project agreement, proposal, or invoice.

2. Intellectual Property & Ownership

• Final Deliverables: Clients receive a non-exclusive, non-transferable license to use the final edited deliverables (videos, graphics, campaigns, etc.) solely for the purposes outlined in the project agreement.

• Raw/Log Footage: All raw video files, unedited footage, and project files remain the sole property of Apex Media Firm. They will not be released unless purchased by the Client at the rate of $295 per minute of footage.

• Usage Rights: Clients may not resell, redistribute, or alter final deliverables without prior written consent. Apex Media Firm retains the right to showcase completed work in portfolios, promotional materials, and case studies unless otherwise agreed in writing.

 

3. Payment Terms

• Payment schedules will be specified in the project agreement or invoice.

• Late payments may incur fees of up to 5% per month on overdue balances.

• All deposits and payments are non-refundable unless otherwise stated in writing.

 

4. Revisions & Approvals

• Clients are entitled to the number of revisions outlined in their service agreement. Additional revisions will be billed at the agreed hourly or per-project rate.

• Failure to provide feedback, approvals, or necessary materials on time may delay delivery. Apex Media Firm is not liable for delays caused by Client inaction.

 

5. Cancellations & Termination

• If the Client cancels a project after work has commenced, the Client remains responsible for all costs incurred up to cancellation, including labor, third-party expenses, and any non-refundable deposits.

• Apex Media Firm reserves the right to terminate a project at its discretion if the Client breaches this agreement or engages in unlawful or unethical activities.

 

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the project. This obligation survives project completion.

 

7. Warranties & Disclaimers

• Apex Media Firm does not guarantee specific results, business outcomes, or performance metrics (e.g., sales, engagement, conversions).

• All deliverables are provided “as is” without warranties of any kind, express or implied.

 

8. Limitation of Liability

• Apex Media Firm’s total liability for any claim related to services or deliverables shall not exceed the total fees paid by the Client under the applicable project agreement.

• Apex Media Firm shall not be liable for indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, data loss, or reputational harm.

 

9. Indemnification

Client agrees to indemnify, defend, and hold harmless Apex Media Firm, its officers, employees, and affiliates from any claims, damages, or expenses arising from:

• Client’s misuse of deliverables,

• Violations of laws or third-party rights, or

• Breach of these Terms & Conditions.

 

10. Governing Law

These Terms & Conditions shall be governed by and construed under the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Newport News, Virginia.

 

11. Updates

Apex Media Firm reserves the right to modify or update these Terms & Conditions at any time. Updates will be posted on our website with the “Last Updated” date. Continued use of our services constitutes acceptance of any revisions.
